Baseline: the constitution signed by all eight members via Dropbox Sign on February 18, 2023 (text dated Jan 27, 2023, including Amendment 1) — the last officially adopted version. Marked changes produce the proposed 2026-2027 edition (effective July 1, 2026). Each change is tagged with its change-log item (C1–C11) and voted individually on the hub.

About Amendment 1. The 2023 signing included Amendment 1 (a revised meeting mix) with a built-in sunset: unless unanimously re-voted by January 2024, it lapsed and the original terms were restored. Double Overtime is a group of business-focused entrepreneurs dedicated to growth and excellence across all areas of our lives, including business, family, health, community and self. We are ambitious, we are quick to take action, we dream big and we hold a clear vision for a beautiful future. We seek to continually grow in our emotions, our intellect, our wisdom and experience, and our health. To support this dedication to excellence and pursuit of growth, we agree to hold the following Values found in Article IV Values in Article IV fundamental and essential to our membership and commitment to one another.

Article III: Origin unchanged

Our Forum originated as part of the New York City chapter of Entrepreneurs' Organization… formed in the summer of 2017… six members spun out to form Double Overtime on an overnight retreat in Louisville, KY in June 2021. Headquartered in New York City but may include outstanding EO members from other chapters.

Article IV: Values C11

Article V: Forum Year unchanged

Article VI: Meetings C1C2C3C4

  1. We will hold 12 meetings per year (includes 1 full retreat, 1 mini-retreat (one-night), and 2 one-day meetings 2 one-day overnights, 4 in-person NYC meetings, and 5 virtual meetings). C2
  2. Our meetings will start at 2pm. In-person meetings start at 2pm; virtual meetings start at 3pm. C1
  3. Our meetings will run approximately 4 hours. In-person meetings run approximately 4 hours; virtual meetings run approximately 2 hours (condensed format). C1
  4. Dinners are afterwards and highly encouraged.
  5. Our meetings will be held on the 2nd Tuesday of every month dates set on the annual calendar, generally the 2nd Tuesday of the month. C3
  6. Any member who wants to change a previously confirmed meeting date is responsible for coordinating with everyone. If the member can't get agreement, that member takes a miss. Doodle.com will be used to coordinate the calendar. The annual calendar lives on the forum hub (2xo.nyc) as a subscribable Google Calendar everyone joins once; Doodle remains available for proposing a date change. C4
  7. There are to be no mind-altering substances consumed before or during a Forum meeting unless part of a special Forum event.
  8. Dope Value and Goals will be prefilled on Airtable live on the forum hub (2xo.nyc) and are available before the start of each meeting. C4
  9. Virtual meetings will be held 2X per year and are held as the condensed 2-hour format and replace the in-person meeting for that month. C1C2
  10. A one-day overnight generally runs from 9am breakfast through 9pm after dinner and may require travel depending on location. Locations are chosen by the year's planners rather than fixed in this constitution. C2

Article VII: Full Retreats C8C11

  1. The shortest retreat is 3 days.
  2. Budget determined by the average or lowest amount agreed by all members at a meeting or Forum dinner.
  3. Retreat fees paid 30 days prior.
  4. The Retreat Planner coordinates the planning.
  5. While planning or setting KPIs, ask what feeling you want to leave the retreat with.
  6. Exercises / workshopping is required. Plan in advance what exercise or activity is utilized (based on the forum health survey and what is needed in the group for that moment in time). Potentially have the Forum complete a Forum Health Survey before the retreat to help determine agenda, exercises, etc. , based on what the group needs at that moment in time. C8
  7. Retreat design intentional: 1/3 lifetime experience, 1/3 work on forum, 1/3 unstructured together/personal time — Mind, Body, Soul.
  8. Preference for a house / B&B where everyone stays together ("ugly morning time"); alternatively a hotel suite as gathering place.
  9. The Retreat Planner gets the best / first-choice room.
  10. Good things come from spending money on experiences — healthy budget for EPIC experiences together.
  11. Agenda disclosed 7+ days in advance.

Article VIII: Emergency Meetings unchanged

Article IX: Fines / Penalties C5C7

  1. Late to a meeting: $50. confirmed C5
  2. Late = anything over 1 second from the start time.
  3. Leaving early: $50.
  4. 2 late arrivals/departures = 1 miss.
  5. Cell phone interruption: $20.
  6. 2 misses allowed per year; 3rd miss = 90-day suspension (or 3 meetings), unanimous vote for re-entry.
  7. No member may miss a full retreat; missing one triggers suspension as above.
  8. Missing a mini-retreat one-day overnight is treated the same as a full retreat. C2

Article XIV: Additional Notes C8C9

  1. You must be a member of EO, YPO, or pay "Annual Dues" to Double Overtime to participate in the Forum. Double Overtime "Annual Dues" will be decided by vote prior to the EO/YPO calendar year and will be no more than EO or YPO dues ("Maximum Annual Dues"). 1a. Any new Double Overtime member must pay EO, YPO or the Maximum Annual Double Overtime Dues. Every member pays annual Double Overtime dues of at least $250 per quarter, plus additional contributions as needed for retreat expenses, dinners, and other forum costs; the Treasurer may issue a capital call from time to time. Dues are set by forum vote prior to each forum year and apply to all members equally. 1a. EO or YPO membership is encouraged but is not a requirement of Double Overtime membership. 1b. Every member must be EO- or YPO-forum-trained. C9
  2. 100% participation in the Double Overtime Quarterly Forum Health Survey is required. C8
  3. A member active more than two years who wishes to pay Double Overtime Annual Dues in lieu of EO/YPO fees proposes the amount; decided by 100% vote; a member may elect the Maximum Annual Dues to avoid a vote; lowest of multiple proposals goes to vote. C9

Article XVI: Member Experience & Expectations C11

  1. Each member owns their Forum experience: be the first to share; be proactive when you have a problem.
  2. All members provide reliable means to be reached. Email is preferred, but telephone, fax, and other means are acceptable. C11

Article XVII: Confidentiality C4

  1. "Confidential Information" = any matter discussed in any Forum meeting; excludes public info, member names/occupations, retreat locations.
  2. Never shared outside a Forum meeting — including spouses and significant others.
  3. Shared only through a unanimously agreed system of communication (e.g. Email, Dropbox, Google Docs, etc email, the forum hub). C4
  4. Not brought up in another meeting unless the person it pertains to is present and all attendees were present when shared.
  5. Individual-specific information only discussed in that individual's presence.
  6. Departing members remain bound, and vice versa.
  7. Violators brought up at the next meeting for possible removal vote.
  8. Violator may plead their case (1 hour max).
  9. Unanimous vote (excluding the member in question) required to keep the member.

Article XVIII: Accountability Partners C7 (new article)

  1. Each member is paired with an accountability partner, rotating each quarter, so everyone partners with four different members across the year.
  2. Each pair holds one 20+ minute call each month.
  3. Missing a monthly accountability call carries a $100 fine (Article IX.11), paid to the Treasurer.
  4. Pairings are set at the start of the year and shown on the forum hub.

This amendment… allows members more flexibility with attending meetings in person. If it is not unanimously voted to keep the amendment one year from now, it will no longer be valid and the original terms of the constitution will be restored. Revised Article VI: 12 meetings per year (1 full retreat, 2 one-day meetings, 4 in-person, 3 optional-virtual, 2 virtual)… 5a.
